Online Store Terms

By agreeing to these Terms of Service, you represent that you are at least the age of majority in your state or province of residence, or that you are the age of majority in your state or province of residence and you have given us your consent to allow any of your minor dependents to use this site.

You may not use our products for any illegal or unauthorized purpose nor may you, in the use of the Service, violate any laws in your jurisdiction (including but not limited to copyright laws).

You must not transmit any worms or viruses or any code of a destructive nature.

A breach or violation of any of the Terms will result in an immediate termination of your Services.

General Conditions

We reserve the right to refuse service to anyone for any reason at any time.

You understand that your content (not including credit card information), may be transferred unencrypted and involve (a) transmissions over various networks; and (b) changes to conform and adapt to technical requirements of connecting networks or devices. Credit card information is always encrypted during transfer over networks.

You agree not to reproduce, duplicate, copy, sell, resell or exploit any portion of the Service, use of the Service, or access to the Service or any contact on the website through which the service is provided, without express written permission by us.

The headings used in this agreement are included for convenience only and will not limit or otherwise affect these Terms.

Errors, Inaccuracies & Omissions

Occasionally there may be information on our site or in the Service that contains typographical errors, inaccuracies or omissions that may relate to product descriptions, pricing, promotions, offers, product shipping charges, transit times and availability. We reserve the right to correct any errors, inaccuracies or omissions, and to change or update information or cancel orders if any information in the Service or on any related website is inaccurate at any time without prior notice (including after you have submitted your order).

We undertake no obligation to update, amend or clarify information in the Service or on any related website, including without limitation, pricing information, except as required by law. No specified update or refresh date applied in the Service or on any related website, should be taken to indicate that all information in the Service or on any related website has been modified or updated.

We reserve the right, at our sole discretion, to update, change or replace any part of these Terms of Service by posting updates and changes to our website. The Service & Prices

Prices for our products are subject to change without notice.
Prices are in USD. The prices displayed on our site are final prices.
The pricing communicated to the Customer is the pricing in force as of the date of payment of a Product or Service. Purchases may include a subscription that automatically renews each year, from the initial purchase, until cancelled.

The Customer may use a promotional code to be entered when the order is placed. Only one coupon code can be used per order.

We reserve the right at any time to modify or discontinue the Service (or any part or content thereof) without notice at any time.

We shall not be liable to you or to any third-party for any modification, price change, suspension or discontinuance of the Service.

Certain content, products and services available via our Service may include materials from third-parties.

Third-party links on this site may direct you to third-party websites that are not affiliated with us. We are not responsible for examining or evaluating the content or accuracy and we do not warrant and will not have any liability or responsibility for any third-party materials or websites, or for any other materials, products, or services of third-parties.

We are not liable for any harm or damages related to the purchase or use of goods, services, resources, content, or any other transactions made in connection with any third-party websites. Please review carefully the third-party’s policies and practices and make sure you understand them before you engage in any transaction. Complaints, claims, concerns, or questions regarding third-party products should be directed to the third-party.

Product Warranty

Plugins sold and distributed by Smmile are done so in the hope that they will be useful, but without any warrant; without even the implied warranty of merchantability or fitness for a particular purpose.

Inasmuch as WordPress functions correctly on a clean install of itself, plugins from smmooth.com are guaranteed to function on a clean install of the minimum, stable and required version of WordPress for the purchased plugins.

Because the number and variety of plugins is vast and wide, we do not guarantee that the plugin will function with all third-party plugins, themes or browsers of any kind. We do not assume responsibility and will not be held responsible for any conflicts or compatibility issues that may occur due to third-party software. We assume no responsibility for any data loss as a result of installing or using our plugins. Should conflicts occur with third-party software, we may provide support at our discretion.

Product Support

Support for plugins sold and distributed by Smmile is only available for those who have an active, paid extension license.

Support and updates are granted for one year after the original purchase based on the license you have purchased. After one year is completed, the purchaser must renew their license in order to continue receiving support and updates for the items purchased. For purchases that include an automatically renewing subscription, support will be provided for as long as the subscription remains active.

If you have purchased a lifetime license, support and updates are granted for the lifetime of the product.

Support and updates for plugins sold on smmooth.com are provided as long as plugin is actively in development.

Whilst we attempt to provide the best support possible for our plugins, we do not guarantee that any particular support query can, or will be answered to the extent, or within a timeframe that the inquirer is completely satisfied.

In order to get the best possible experience and to decrease the waiting time, we invite everyone to open a ticket per topic and/or question. This will greatly improve the response time but also balances the response time for everyone.

Support does not include customization (modifying the appearance or functionality of the plugin beyond what the plugin options provide). We provide our products as is. We do not customize our products or provide support for any 3rd party customization of our products. We also do not provide support if our plugin is not functioning properly because of any other 3rd party plugin which you are using. However, in case of such confusion, we may test the conflicting plugin for compatibility.

We reserve the right to close any ticket or suspend support if the rules of decency are not respected.

Our standard office hours are 9am to 5pm Singapore Time (GMT +8), Monday through Friday. Support tickets are not responded to on weekends, national holidays or sick leave.

Support is only provided by email (with the purchase email) or via our website ticket system.

Product Updates

Automatic updates are available to license holders who have an active and valid subscription and license key. Automatic updates are available as long as the license key generated from the purchase is valid and active.

We do not guarantee that automatic updates will success all the time. During maintenance or any other technical issues on our website, automatic updates may fail.

Product Delivery

After we have processed your payment successfully, you will receive an email with your order number and other purchase information. Your license key is also available in your account area along with your plugin downloads. You can download the plugin by logging into the account created for you when purchasing the plugin and clicking on the appropriate link.

Should you not receive an email containing your information, you can contact us through our contact form to request your purchase information. Access to re-download purchased files will be granted so long as your license key is valid. If a license key expires, download access to the associated files will be discontinued until such time as the license key is renewed. This includes access to previous versions of extensions that were available at the time the license key was active.

License Usage

Smmile grants each customer one or more non-transferable license(s) to use the software for internal use, and as defined by the terms set in the customer’s chosen license package.

Where the license package allows the software to be used on multiple sites the customer/license-holder may not sell or redistribute the originally-purchased license key provided by Smmile, to other users of the license (such as clients) for commercial benefit. Additionally, the customer may not sublicense, to any person or entity, any rights to distribute the software or license key. Smmile will only provide support services to the original customer/license-holder with a legitimate license key, and consider any other uses of this license key for support queries as fraudulent.

Intellectual Property

All plugins sold on smmooth.com are property of Smmile. Claiming any type of intellectual or exclusive ownership rights of our products is strictly prohibited.

Our Plugins and add-ons, unless otherwise stated, are licensed under the GNU General Public License (https://www.gnu.org/licenses/gpl-3.0.html) version 3.0 or later.

The website content (technical documents, designs, photographs, etc.) shall remain the seller’s ownership, as sole owner of the intellectual property rights on its content.

The clients shall undertake not to make any use of this content; any total or partial reproduction of this content is strictly prohibited and may constitute an infringement offense.

Indemnification

You agree to indemnify, defend and hold harmless Smmile harmless from any claim or demand, including reasonable attorneys’ fees, made by any third-party due to or arising out of your breach of these Terms of Service or the documents they incorporate by reference, or your violation of any law or the rights of a third-party.

Severability

In the event that any provision of these Terms of Service is determined to be unlawful, void or unenforceable, such provision shall nonetheless be enforceable to the fullest extent permitted by applicable law, and the unenforceable portion shall be deemed to be severed from these Terms of Service, such determination shall not affect the validity and enforceability of any other remaining provisions.

Termination

The obligations and liabilities of the parties incurred prior to the termination date shall survive the termination of this agreement for all purposes.

These Terms of Service are effective unless and until terminated by either you or us. You may terminate these Terms of Service at any time by notifying us that you no longer wish to use our Services, or when you cease using our site.

If in our sole judgment you fail, or we suspect that you have failed, to comply with any term or provision of these Terms of Service, we also may terminate this agreement at any time without notice and you will remain liable for all amounts due up to and including the date of termination; and/or accordingly may deny you access to our Services (or any part thereof).

Entire Agreement

The failure of us to exercise or enforce any right or provision of these Terms of Service shall not constitute a waiver of such right or provision.

These Terms of Service and any policies or operating rules posted by us on this site or in respect to The Service constitutes the entire agreement and understanding between you and us and govern your use of the Service, superseding any prior or contemporaneous agreements, communications and proposals, whether oral or written, between you and us (including, but not limited to, any prior versions of the Terms of Service).

Any ambiguities in the interpretation of these Terms of Service shall not be construed against the drafting party.

Governing Law

These general terms and conditions are subject to the application of Singapore law. This shall apply for the rules governing the content and the form. In the event of a dispute or complaint, the client shall contact Smmile in priority to reach an amicable solution.

Mediation

Any dispute or claim arising out of or in connection with this Agreement, including any matter relating to the formation, termination or termination of this Agreement, shall be settled through negotiation of conciliation between side;

Where neither party is able to negotiate or settle disputes arising out of or in connection with this undertaking, it shall be settled by arbitration at the Singapore International Arbitration Centre in accordance with the Rules and arbitration proceedings of this Center.
